TERMS & CONDITIONS


1. Agreement

By accepting a Quote or signing a Statement of Work (SOW), you (the Client) agree to these Terms and Conditions. Together, the Quote or SOW and these Terms form the entire agreement between Envizual and the Client.


2. Services & Deliverables

• Envizual provides services as outlined in the Quote or SOW, including the creation of video and photo content (Deliverables).

• Envizual retains artistic control over creative decisions unless otherwise specified.

• Deliverables will be supplied digitally via an online server unless otherwise agreed.


3. Client Obligations

The Client agrees to:

• Provide necessary access, input materials, and approvals in line with agreed timelines.

• Ensure contributors (e.g., talent, third parties) give appropriate permissions for recording and use in the Deliverables.

• Cover all agreed expenses, including travel, as outlined in the Quote or SOW.

• Handle all licensing for third-party materials (e.g., music, stock footage) if the Client provides them, and indemnify Envizual against claims arising from their use.

Failure to meet these obligations may result in delays or additional charges.


4. Payment Terms

• A deposit is required before work begins, as outlined in the Quote or SOW.

• All invoices must be paid within 10 days of receipt unless otherwise stated.

• Late payments incur interest under the Late Payment of Commercial Debts Act 1998.

• Any disputes over invoices must be raised within 7 days of receipt.


5. Revisions

• The Client is entitled to two rounds of minor revisions as outlined in the Quote or SOW. Minor revisions include changes within the agreed scope of work, such as text adjustments or slight timing alterations.

• Additional changes, or revisions deemed outside the agreed scope, will incur extra costs.

• Draft Deliverables will be watermarked until full payment is received.


6. Full Day and Half Day Rates

• A full day of services is defined as 8 hours of work, and a half day is 4 hours of work.

• Any hours worked beyond these limits will incur additional overtime fees, unless agreed otherwise.


7. Intellectual Property

• Envizual retains ownership of all intellectual property, including raw footage and edit files.

• Final Deliverables are licensed to the Client for agreed uses upon full payment.

• Unauthorized modifications, resale, or licensing of Deliverables to third parties are prohibited.

• Envizual reserves the right to use any Deliverables produced for the Client for promotional purposes, including but not limited to Envizual’s portfolio, website, social media, and marketing materials, unless agreed otherwise in writing. If the Client objects to specific Deliverables being used for such purposes, they must notify Envizual in writing before the project begins.


8. Cancellation & Postponement

• Deposits are non-refundable. If cancellation occurs within 24 hours of the shoot, full project costs are payable.

• Postponements are allowed without penalty if shoot dates are rebooked, but incurred expenses remain chargeable.


9. Liability & Indemnity

• Envizual is not liable for indirect or consequential losses beyond the agreed project cost.

• The Client indemnifies Envizual against third-party claims arising from the use of input materials provided by the Client.

• Envizual’s total liability is limited to the total project cost as outlined in the Quote or SOW.


10. Confidentiality

Both parties agree to keep sensitive project information confidential. Envizual will not disclose or misuse client-provided materials unless required for the project or promotional use agreed upon.


11. Force Majeure

Envizual is not liable for delays or failures caused by events beyond its control, including but not limited to natural disasters, government actions, or equipment failure. If such delays exceed 4 weeks, the Client may terminate the agreement, and any deposits paid will be refunded.


12. Dispute Resolution

In the event of a dispute, both parties agree to attempt resolution through negotiation or mediation before pursuing legal action.


13. Governing Law & Jurisdiction

This agreement is governed by the laws of England. Both parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising from this agreement.


14. Severability

If any part of this agreement is found to be unenforceable, the remaining terms shall continue in full force and effect.


15. Entire Agreement

These Terms & Conditions, along with the Quote or SOW, constitute the entire agreement between the Client and Envizual, superseding any prior agreements or communications.


16. Amendments & Variations

Any changes to this agreement must be made in writing and signed by both parties.


17. Acknowledgment

By working with Envizual, you acknowledge and agree to these terms. For full details, please refer to the Quote or SOW provided with your estimate.
